Terms & Conditions

1.

As a submitter with effect from today you declare that you are authorized to conclude legally effective contracts relating to your idea's subject matter. In particular, you confirm being over eighteen years of age. If you reside in a country that is prohibited by law, regulation, treaty or administrative act from entering into trade relations with Germany or its citizens, you may not use this Site.

2.

The submitter understands that this first submission of his/her idea shall merely provide a general overview of its contents and not impart any confidential information. Confidential information shall remain reserved for a further evaluation of the idea. Freudenberg can’t sign Non Disclosure Agreements as a matter of policy at an early idea submission stage. You are aware and agree that there is no confidentiality obligation and that Freudenberg is free to disclose your submission to other companies of the Freudenberg group that act in a business field which is related to your submission.

In order to describe your business idea, please submit non-confidential information only.  As the disclosure of information of any inventive part of your idea to others (such as Freudenberg) prior to obtaining intellectual property protection may result in a loss of potential intellectual property protection, Freudenberg encourages you to take steps to protect your idea prior to submitting it to us by applying for patents, trademarks, copyrights or whatever other forms of intellectual property protection may be available to you.  Because Freudenberg cannot and does not accept any obligation of confidentiality with respect to your submission, it is possible that submission of your idea to us will negatively affect your ability to subsequently obtain such registrations or to protect your information as a “trade secret.”  Freudenberg encourages you to seek the advice of counsel in this regard.

4.

The submitter understands that the submission of the idea under these Terms and Conditions represents the entire understanding and agreement between the submitter and Freudenberg & Co. Kommanditgesellschaft (herein referred to as “Freudenberg”), Hoehnerweg 24, 69465 Weinheim, Germany and that neither party has an obligation to go on with further discussions of whatever nature. No legal claims against Freudenberg can be derived from the idea submission.

You are solely responsible for the content of your information, postings, or business ideas. Freudenberg reserves the right to take any action with respect to such information that it deems necessary or appropriate in its sole discretion if Freudenberg believes information is inappropriate for this Site, or may create liability for Freudenberg. You agree that your information will be accurate and will not, to the best of your knowledge: (a) infringe any third party’s copyright, trademark, patent or other proprietary rights or rights of publicity or privacy, (b) violate any law (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising), or (c) be libelous, unlawfully threatening, or unlawfully harassing. Freudenberg reserves the right to delete or remove any unlawful, misleading content posted as soon as Freudenberg receives a complaint about any such content or Freudenberg otherwise becomes aware that any content is inappropriate.

If you submit a business idea, you agree that you are the owner of the submitted business idea and that you are legally free to make the disclosure, to negotiate about the submitted idea and its further use by us and to convey the intellectual property rights to Freudenberg. You especially agree that your submission is free of rights of third parties, e.g. your current or former employer. In case the business idea includes the intellectual property of the submitter, the submitter hereby grants to Freudenberg a right to use the intellectual property and declares not to claim against Freudenberg or other companies of the Freudenberg group of companies for having made use of the submission.

7.

Unless explicitly indicated otherwise by you when participating in the Star Campaign ideaTrophy, you agree that your business idea can be published under your registered user name as well as shared for community discussion and voting. As part of the registration process for the Star Campaign ideaTrophy, you will be asked to select a password and a login name. You agree that your registration information at all times correctly represents your professional affiliation, experience, qualifications and ability to transact business. You may not use a login name of another user. You may not disclose or share your password to any third parties or use your password for any unauthorized purposes. You agree to notify Freudenberg at ideatrophy@freudenberg.com of any unauthorized use of your account or breach of security, including loss, theft, or unauthorized disclosure of your password or login information. Remember, you are responsible for maintaining the confidentiality of your password(s). Your contact information is protected by data-protection laws applicable in the country that hosts the website.

8.

Freudenberg does not guarantee the accuracy of the Site or ownership of any information, unless otherwise stated on the Site. While Freudenberg believes information to be posted in good faith, Freudenberg does not control the information provided by others that is made available through the Site. Other user’s information may be inaccurate. You agree to look solely to the other users for any claims you may have regarding their information. If you have a dispute with another user of the Site, you hereby release Freudenberg from all claims of any kind arising out of such dispute.

9.

Every business idea within our strategic searchfields will be reviewed, but, due to the volume of ideas and materials, Freudenberg may take a few weeks to get back to you. Freudenberg desires to make your use of this Site enjoyable, and will endeavor to keep postings as current as possible. However, Freudenberg does not guarantee that the postings or content on this Site will be current at all times.

10.

Within our Star Campaign ideaTrophy awards are given by Freudenberg to the persons that presented the best business ideas. The decision on the best business ideas as well as other awards is taken by Freudenberg at its sole discretion. Deadlines for entries will be posted on the Site. Recourse to the courts is excluded. Participation is free, but, requires registration. Only the winners of the awards will be notified of their respective prizes by email. Cash prizes will be transferred to accounts named by the winners after the winners have been notified. To ensure the transfer of the prizes, winners agree to fully cooperate by giving necessary information or assistance to Freudenberg.

11.

Freudenberg shall retain all ownership in the Site and all content that is displayed on the Site. Freudenberg grants you a nonexclusive, revocable right to use the Site provided that you do not (i) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, (ii) modify or attempt to modify the Site in any manner or form except that you have the right to modify your self-generated content on the Site. The license granted to you by Freudenberg is a limited license to access and make personal use of this Site and not to download (other than page caching) or modify it, or any portion of it, except with express consent of Freudenberg. This Site or any portion of this Site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Freudenberg. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information of Freudenberg without express written consent. Any unauthorized use terminates the permission or license granted by Freudenberg. You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page so long as the link does not portray Freudenberg, or its products or services in a false, misleading, derogatory, or otherwise offensive manner. You may not use any Freudenberg logo or other proprietary graphic or trademark as part of the link without express written permission.

All content included on this Site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is, unless explicitly stated otherwise, the property of Freudenberg and protected by German and international copyright laws. The compilation of all content on this Site is the exclusive property of Freudenberg and protected by German and international copyright laws. All software used on this Site is the property of Freudenberg or its software suppliers and protected by German and international copyright laws.

13.

SUPPLEMENTAL TERMS AND CONDITIONS FOR EMPLOYEES OF Freudenberg AND ALL OTHER FREUDENBERG AFFILIATED COMPANIES  (each a “Freudenberg Company”)

13.1

The submitter understands and agrees that her/his submission is governed by her/his agreement as an employee of a Freudenberg Company as well as the Terms and Conditions of the Star Campaign.  To the extent that there is any conflict between the terms of the employment agreement with a Freudenberg Company and the terms of the Star Campaign, the terms of the employment agreement with a Freudenberg Company shall prevail. 

13.2

Submitter specifically acknowledges and agrees that such terms of submitter’s employment with a Freudenberg Company include, but are not limited to, obligations (i) to disclose and hereby assign rights to the Freudenberg Company in submitter’s inventions, ideas, works of authorship or work product developed on Freudenberg Company time, using Freudenberg Company resources, or relating to the current or reasonably foreseeable future business of the Freudenberg Company; (ii) to maintain confidentiality of non-public information developed by submitter or of which submitter has become aware as an employee of the Freudenberg Company, including, but not limited information regarding Freudenberg entities and its past, current or prospective customers or suppliers.

13.3

To the extent that submitter is aware of or has concern regarding an actual or potential conflict between submitter’s participation in the Star Campaign and submitter’s obligations under the terms of submitter’s employment with a Freudenberg Company, submitter shall consult with her/his management within the Freudenberg Company.
